Job DescriptionThe main missions of this Department, within Vantiva's international headquarters in Paris (France), are to ensure the legal management of the work of the listed company's governance bodies, compliance with stock exchange rules, the legal management of the group's financial operations, the corporate management of French law companies, among others, as well as coordination of the group's subsidiaries through local relays.
MAIN ACTIVITIES
Under the supervision of the Corporate General Counsel and Secretary of the Board of Directors, you will assist the latter and actively participate in these tasks, in close collaboration with other relevant functional departments (finance, consolidation, controlling, treasury, taxation, investor relations, local legal teams, etc.). Your main activities will include:
- preparation (drafting in English and French) and review of documents required by stock exchange regulations, particularly the Universal Registration Document;
- Assistance in the preparation of boards of directors' meetings, board committees, and the general meeting of the French listed company Vantiva SA;
- legal monitoring of transactions on the share capital of the listed company (crossing of thresholds, financial authorizations, corporate actions, etc.);
- advising the financial management on the implementation of the group's financial operations;
- legal monitoring of the French (and potentially Eurasian) subsidiaries of the Vantiva group: routine corporate life (approval of accounts, distributions, completion of legal formalities etc.), implementation of corporate structure simplification and restructuring operations, capital transactions, mergers, reclassification of shares, etc.;
- drafting and managing delegations of authority and powers of attorney;
- management of executive corporate officers' and Senior executives' signature certifications;
- participation in cross-functional projects with other support functions;
- legal monitoring: research, drafting notes, and various works in corporate law, corporate governance, and stock exchange law
QualificationsWith a BAC + 5 level education such as a Master 2 degree in French Business Law, ideally with a specialization or complementary training in French corporate law, the candidate must have at least five years of experience as a legal professional in French corporate law & French stock exchange law, acquired at least partially within a law firm, a company, or an internationally oriented group.
